Terms of Service

These Terms of Service constitute a legally binding agreement between you and Wayline Inc., a Delaware corporation (together with its affiliates, "Wayline," "Company," "we," "our" or "us"), governing your access to and use of our web-based administrative platform available at admin.wayline.com, our AI-powered tenant communications services, any related software, APIs, documentation, and website located at wayline.com (the "Site" and collectively with the foregoing, the "Services"). The Services enable property management companies ("Customers") to handle inbound and outbound tenant communications — including voice calls, SMS, and other messaging channels — through AI agents, with optional human support staff for escalation and oversight.
YOU ACKNOWLEDGE AND AGREE THAT, BY CLICKING ON THE "I AGREE" OR SIMILAR BUTTON, REGISTERING FOR AN ACCOUNT, OR ACCESSING OR USING THE SERVICES, YOU ARE INDICATING THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE, WHETHER OR NOT YOU HAVE REGISTERED WITH THE SITE. IF YOU DO NOT AGREE TO THESE TERMS OF SERVICE, THEN YOU HAVE NO RIGHT TO ACCESS OR USE THE SERVICES. These Terms of Service are effective as of the date you first click "I agree" (or similar button or checkbox) or use or access the Services, whichever is earlier. If you accept or agree to these Terms of Service on behalf of your employer or another legal entity, you represent and warrant that (i) you have full legal authority to bind your employer or such entity to these Terms of Service; (ii) you have read and understand these Terms of Service; and (iii) you agree to these Terms of Service on behalf of the party that you represent. In such event, "you" and "your" will refer and apply to your employer or such other legal entity.
Any personal data you submit to us or which we collect about you is governed by our Privacy Policy ("Privacy Policy"), available at https://www.wayline.com/terms-privacy#privacy-policy. You acknowledge that by using the Services, you have reviewed the Privacy Policy. The Privacy Policy is incorporated by reference into these Terms of Service and together form and are hereinafter referred to as this "Agreement."
PLEASE NOTE: THIS AGREEMENT GOVERNS HOW DISPUTES BETWEEN YOU AND WAYLINE CAN BE RESOLVED. IT CONTAINS A BINDING AND FINAL ARBITRATION PROVISION AND CLASS ACTION WAIVER (SECTION 12). PLEASE READ CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING, IF APPLICABLE, YOUR RIGHT TO OPT OUT OF ARBITRATION.
Account, Password, and Security
You must register with Wayline and create an account to use the Services (an "Account") and as part of that process you will be requested to provide certain information, including without limitation your name, business email address, and phone number. By using the Services, you agree to provide true, accurate, current and complete information as prompted by the registration process and to maintain and promptly update the Account information to keep it accurate, current and complete. You are the sole authorized user of your Account. You are responsible for maintaining the confidentiality of any log-in credentials, password, and Account identifier provided by you or given to you by Wayline for accessing the Services. You are solely and fully responsible for all activities that occur under your password or Account, even if not authorized by you. Wayline has no control over the use of any user's Account and expressly disclaims any liability derived therefrom. Should you suspect that any unauthorized party may be using your password or Account or you suspect any other breach of security, you agree to contact Wayline immediately at admin@wayline.com.
The person signing up for the Services will be the contracting party ("Account Owner") for the purposes of these Terms of Service and will be the person who is authorized to use any corresponding Account we provide to the Account Owner in connection with the Services; provided, however, that if you are signing up for the Services on behalf of your employer or other organization, your employer or such organization shall be the Account Owner. As the Account Owner, you are solely responsible for complying with these Terms of Service and only you are entitled to all benefits accruing thereto. Your Account is not transferable to any other person or account. You must immediately notify us of any unauthorized use of your password or identification or any other breach or threatened breach of our security or the security of your Account.
Wayline may reserve, reclaim, or reassign any account identifier, subdomain, or handle that (i) is unused for a commercially reasonable period; (ii) was registered in bad faith or for the purpose of resale; (iii) infringes the trademark or other rights of a third party; (iv) impersonates another person or entity; or (v) Wayline is required to reclaim by court order or other legal process. Wayline will provide reasonable advance notice when practicable and will not be liable for any loss arising from such reclamation.
Billing and Payment
Access to the Services is offered on a subscription basis, as described on the Services or in an applicable order form. Unless otherwise expressly stated in an order form or separate written agreement, subscriptions automatically renew for successive terms of equal duration. You may cancel or change your subscription at any time through the account management features of the Services or by contacting us at admin@wayline.com; cancellation will take effect at the end of your then-current billing period and, except as required by law or expressly set forth in an order form, fees already paid are non-refundable.
Payment must be made through Stripe or such other third-party payment processing system as Wayline designates (the "PSP") as indicated on the Services. You may be required to register with the PSP, agree to the terms of service of the PSP, and provide your payment details to the PSP. By accepting these Terms of Service, you agree that you have reviewed and agreed to any applicable PSP terms of service. Please note that Wayline is not a party to any PSP agreement and that Wayline has no obligations, responsibility or liability to any user or any other party under such PSP agreement.
All prices and fees displayed on the Services are exclusive of applicable federal, state, local or other governmental sales, goods and services or other taxes, fees or charges now in force or enacted in the future ("Taxes"). Any applicable Taxes are based on the rates applicable to the billing address you provide to us. Unless otherwise indicated, all prices, fees and other charges are in U.S. dollars, and all payments shall be in U.S. currency.
Customer Content and License to Company
"Customer Content" means any data, configurations, property information, tenant records, uploaded files, integrations, and other materials or data that you or your authorized users submit to, upload to, input into, or otherwise make available to the Services. As between you and Wayline, you (or your licensors) retain all right, title and interest in and to Customer Content, including all intellectual property rights therein. Wayline claims no ownership rights in Customer Content.
You hereby grant Wayline a worldwide, non-exclusive, royalty-free, fully paid-up license to host, copy, transmit, display, process, analyze, and otherwise use Customer Content solely to: (i) provide, maintain, support, secure, and improve the Services for you and your authorized users; (ii) perform obligations and exercise rights under this Agreement; (iii) prevent or address service, security, technical, or compliance issues; and (iv) comply with applicable law. We will not use Customer Content to train any foundation model or other large-scale machine-learning model that is made available to third parties. We may collect and use aggregated or de-identified data derived from use of the Services (for example, usage statistics and performance metrics) for any lawful business purpose, including to analyze, maintain, improve, and promote the Services.
For the avoidance of doubt and notwithstanding anything to the contrary in this Agreement, Wayline will not, and will not permit any AI provider or other third party to, use Customer Content to develop, train, fine-tune, adapt, or otherwise improve any foundation model or other generally available machine-learning model, whether developed by Wayline or by a third party, except (a) to the extent you expressly opt in through a separate written agreement with Wayline or (b) for customer-specific models used solely to operate the Services for you and your authorized users that are not made available to any other Wayline customer.
You represent and warrant that you have, and will maintain, all rights, licenses, consents, and permissions necessary for Wayline to exercise the rights granted in this Section with respect to Customer Content, and that Customer Content, and our authorized use of Customer Content, will not infringe or violate the rights of any third party (including any intellectual property, privacy, publicity, or confidentiality rights) or violate any applicable law. You are solely responsible for the accuracy, quality, legality and content of Customer Content and for maintaining appropriate backups of Customer Content.
"Usage Data" means technical data, logs, telemetry, diagnostic information, aggregated and de-identified metrics, and other information generated by Wayline's systems in connection with the configuration, operation, support, and use of the Services, in each case excluding personal information (as defined in the Privacy Policy) and Customer Content. As between the parties, Wayline exclusively owns all right, title, and interest in and to Usage Data. Wayline may collect, generate, analyze, and use Usage Data to operate, secure, maintain, analyze, and improve the Services, to develop new features and products, and for any other lawful business purpose, and may share Usage Data with third parties in aggregated or de-identified form that does not identify you or your authorized users.
AI Functions; Recording and Biometric Information
"AI Functions" is defined as the AI-powered features and capabilities offered as part of the Services, including without limitation AI agents that answer and place tenant voice calls, handle SMS and multi-channel messaging, generate call transcripts and summaries, perform issue triage and routing, and take other automated actions on behalf of Customers, utilizing artificial intelligence, machine learning, large language models, or similar technologies developed by Wayline and/or Wayline's third-party providers (such third-party providers, collectively, the "AI Providers"). Wayline and/or its licensors exclusively own all right, title, and interest in and to the AI Functions, including all associated intellectual property rights, except for the rights to use provided in this Agreement.
Wayline may collect and use data of your interaction with, or use of, the AI Functions solely to the extent necessary to: (i) provide you with the AI Functions' functionalities; (ii) maintain, improve, modify, and develop the AI Functions; (iii) comply with applicable laws and regulations; and (iv) enforce the respective policies applicable thereto, provided, however, that Wayline will not disclose any such data to other users of the Services or otherwise in a manner that allows such data to be identified as relating to you.
You may not use the AI Functions (i) to develop foundation models or other large-scale models that compete with Wayline or the AI Functions; (ii) to mislead any person that outputs of the AI Functions were solely human generated when they were not; (iii) in any manner that violates the Agreement; or (iv) to circumvent or attempt to bypass AI safety guardrails, extract model prompts or weights, or replicate the underlying AI architecture.
Wayline does not make any representation, warranty or indemnity as to the results that may be obtained from the use of the AI Functions or the accuracy, currency or completeness of any information obtained through the AI Functions. Outputs of the AI Functions, including AI agent responses, generated transcripts, call summaries, and issue classifications, should be treated as suggestions only; you are solely responsible for independently reviewing and validating such outputs before relying on them. The AI Functions cannot dynamically retrieve information and may not account for events or changes occurring after the applicable model was trained. No information or advice, whether oral or written, obtained by you from Wayline or through the AI Functions shall create any warranty not expressly made herein.
Certain AI Functions include autonomous or agentic capabilities, including without limitation AI agents that answer and place voice calls, send SMS messages, apply routing logic, interact with third-party property management systems, and take other actions within your environment without requiring manual review or approval of each individual action. To the extent you enable, authorize, or grant permission to any autonomous or agentic capability, you acknowledge and agree that (i) you are solely responsible for the design, configuration, and supervision of such capability, and for reviewing and approving any resulting action; (ii) you assume all risk of unintended actions, data errors, regulatory noncompliance, and any other consequences arising from actions taken by the AI Functions; and (iii) Wayline will have no liability for any loss, damage, or other consequence arising from the use of autonomous or agentic capabilities, except to the extent expressly provided in a separate written agreement.
Voice Recording, Call Monitoring, and Biometric Information
The Services record all voice calls handled by AI agents and, where applicable, calls handled by human support staff ("Call Recordings"), unless you expressly configure the Services to disable recording for a specific use case where such configuration is made available. Wayline will play an automated disclosure to callers at the commencement of each call notifying them that the call may be recorded for quality and service purposes. The Services offer configurable call-handling options that you select through your account configuration, and your selection determines whether calls are recorded, transcribed, or summarized. Depending on the option you enable: (i) the Services may record and transcribe calls, in which case Wayline will play an automated disclosure to callers at the commencement of each such call notifying them that the call may be recorded for quality and service purposes; (ii) the Services may transcribe calls without recording or retaining the underlying call audio, in which case no automated recording disclosure is played; or (iii) the Services may neither record nor transcribe calls, in which case the Services may still generate an AI-generated summary of the call. Recordings and transcripts created under options (i) and (ii) constitute "Call Recordings" for purposes of this Agreement. You are solely responsible for selecting and configuring the call-handling option appropriate for your use of the Services and for your compliance with applicable law, including any disclosure or consent obligations described below.
You are solely and independently responsible for complying with all federal and state laws governing the recording of telephone conversations. You acknowledge that numerous states require the consent of all parties to a telephone conversation before it may be recorded ("two-party consent states"), including California (Cal. Penal Code § 632), Connecticut, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Oregon, Pennsylvania, and Washington. Wayline's standard call disclosure does not substitute for your independent legal obligations under applicable state recording consent laws, and you shall not rely on Wayline's disclosure alone as satisfying such obligations. You shall ensure that all required consents to call recording are obtained from your tenants and other callers prior to or at the commencement of any recorded call processed through the Services.
Certain jurisdictions regulate the collection, storage, use, and destruction of biometric identifiers and biometric information, which may include voiceprints derived from voice recordings. Laws that may apply include the Illinois Biometric Information Privacy Act (740 ILCS 14/1 et seq.) ("BIPA"), the Texas Capture or Use of Biometric Identifier Act (Tex. Bus. & Com. Code § 503.001 et seq.) ("CUBI"), and similar laws in other jurisdictions (collectively, "Biometric Privacy Laws"). You are solely responsible for determining whether any Biometric Privacy Law applies to your deployment and use of the Services and for ensuring full compliance, including requirements to: (i) provide advance written notice to covered individuals before collection of biometric identifiers or information; (ii) obtain a written release or consent prior to collection; (iii) adopt and publish a written policy establishing a retention schedule and guidelines for permanent destruction of biometric identifiers and information; (iv) use reasonable care in storing, transmitting, and protecting biometric identifiers and information; and (v) refrain from selling, leasing, trading, or otherwise profiting from biometric identifiers or information. In its capacity as a service provider, Wayline processes Call Recordings only as directed by you and solely to provide the Services, and will not use Call Recordings or voiceprints to build biometric identification systems or for any purpose other than providing the Services.
The Services may be used to initiate outbound voice calls and send SMS or other messages to tenants and other contacts. Use of the Services for any such outbound communications may be subject to the Telephone Consumer Protection Act (47 U.S.C. § 227) ("TCPA"), the FCC's implementing regulations, and applicable state telemarketing and do-not-call laws. You are solely responsible for: (i) obtaining all legally required prior express written consents from recipients before initiating any autodialed, prerecorded, or AI-generated calls or text messages; (ii) maintaining records of all such consents; (iii) honoring Do-Not-Call registrations and opt-out requests; and (iv) ensuring that all outbound communications comply with applicable law. Wayline makes no representation or warranty that the AI Functions comply with the TCPA, applicable FCC rules, or any state telemarketing laws in all circumstances, and you are solely responsible for ensuring legal compliance in all jurisdictions where you use the Services.
Representations and Warranties
You represent and warrant that: (i) you are at least 18 years of age or of the legally required age in the jurisdiction in which you reside, and are otherwise capable of entering into binding contracts; and (ii) you have the right, authority and capacity to enter into this Agreement and to abide by its terms and conditions, and that you will so abide. Where you enter into this Agreement on behalf of a company or other organization, you represent and warrant that you have authority to act on behalf of that entity and to bind that entity to this Agreement.
You further represent and warrant that (i) you have read, understand, and agree to be bound by these Terms of Service and the Privacy Policy in order to access and use the Services, and (ii) when using or accessing the Services, you will act in accordance with all applicable local, state, federal or foreign laws or regulations and in good faith.
You further represent, warrant, and covenant that: (i) you are not located in, organized under the laws of, or ordinarily resident in any country or region that is, at the time of access, the subject of comprehensive U.S. sanctions; (ii) you are not identified on the U.S. Treasury Department Office of Foreign Assets Control ("OFAC") Specially Designated Nationals and Blocked Persons List or any other applicable restricted-party list; (iii) you will not access or use the Services in violation of any applicable export-control or sanctions laws; and (iv) you will not export or otherwise make available the Services or any output of the AI Functions to any person, entity, country, or end use prohibited by applicable law.
You agree not to engage in any of the following prohibited activities, among others: (i) copying, distributing, or disclosing any part of the Services in any medium other than as allowed by the Services and these Terms of Service; (ii) using any automated system (other than any functionalities of the Services) to access the Services in an unauthorized manner; (iii) transmitting spam, chain letters, or other unsolicited communications, or attempting to phish, scrape, or harvest data from the Services; (iv) attempting to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the Services; (v) violating any international, federal, state, or local laws or regulations; (vi) uploading viruses, worms, or other malicious software through the Services; (vii) infringing upon or violating our intellectual property rights or the intellectual property rights of others; (viii) impersonating another person or entity or misrepresenting your affiliation with any person or entity; (ix) using the Services to impersonate your tenants or other callers in communications; (x) sharing Call Recordings or transcripts outside the Services without proper authorization; (xi) circumventing AI safety guardrails or attempting to extract underlying model prompts, model weights, or training data; (xii) using the Services in violation of the TCPA or applicable Biometric Privacy Laws; (xiii) reselling, sublicensing, or otherwise making the Services available to third parties without Wayline's prior written consent; (xiv) attempting to decipher, decompile, disassemble or reverse engineer any of the software or algorithms used to provide the Services; or (xv) encouraging or enabling any other individual to do any of the foregoing.
Termination and Suspension
Unless otherwise agreed to in writing between you and Wayline (either in an order form or a separate agreement for a paid subscription), either party may terminate these Terms of Service for any or no cause, at any time, subject to the cure period described below. You may cancel and delete your Account at any time by using the features on the Services to do so or by written notice to admin@wayline.com; provided, however, that in no event will you be entitled to any refund of prepaid fees in the event of a termination by you. After cancellation, you will no longer have access to your Account or your data through the Services. The provisions of these Terms of Service which by their intent or meaning are intended to survive such termination, including without limitation the provisions relating to ownership, disclaimer of warranties, limitations of liability, confidentiality, and indemnification, shall survive the termination of these Terms of Service.
Wayline may terminate, suspend, or limit your right to use the Services in the event that we are investigating or believe that you have breached any provision of this Agreement, or that your use of the Services poses a security, legal, or operational risk to the Services, Wayline, or other customers, by providing you with written or email notice. Such termination, suspension, or limitation will be effective immediately upon delivery of such notice in cases involving (i) a violation of applicable law; (ii) a material breach of the Customer Content, AI Functions, or Voice Recording sections of this Agreement; (iii) unpaid fees outstanding for more than ten (10) days after notice; or (iv) a credible threat to the security or integrity of the Services. In all other cases, Wayline will provide at least fifteen (15) days' written notice and an opportunity to cure before exercising its right to terminate or suspend.
Wayline reserves the right to modify or discontinue, temporarily or permanently, all or any portion of the Services at its sole discretion. Wayline will use commercially reasonable efforts to provide advance notice of material changes to core functionality during a paid subscription term.
Following the termination or cancellation of your Account, Wayline will retain your data, including Customer Content and Call Recordings, for thirty (30) days (the "Reactivation Window") to allow you to retrieve or export your data. After the Reactivation Window, Wayline will delete your data in the normal course of operation, subject to any data-retention obligations under applicable law. You are responsible for exporting or otherwise preserving any Customer Content you wish to retain prior to termination.
Links to Third-Party Websites and Services
The Services may contain links or integrations with third-party websites, applications, or services, including without limitation property management systems (such as Buildium, DoorLoop, and AppFolio), payment processors, AI providers, and telephony infrastructure providers. Such links or integrations do not constitute endorsement by Wayline or association with those services, their content, or their operators. Wayline does not control any such websites or services and is not responsible for their availability or accuracy, or for their content, products, or services. You are responsible for reviewing the terms and conditions of any third-party service you use in connection with the Services.
The use of any website or service controlled, owned, or operated by third parties is governed by the terms and conditions of use and privacy policies for those websites or services. You access such third-party websites and services at your own risk. Wayline expressly disclaims any liability arising in connection with your use and/or viewing of any websites, services, or other material associated with links or integrations that may appear on the Services.
Intellectual Property Rights
All text, graphics, editorial content, data, formatting, designs, HTML, look and feel, photographs, sounds, images, software, videos, designs, trademarks, logos, and other content (collectively "Proprietary Material") that users see or read through the Services, other than Customer Content and any content licensed from a third party, is owned by Wayline. Proprietary Material is protected in all forms, media and technologies now known or hereinafter developed. Wayline owns all Proprietary Material as well as the coordination, selection, arrangement and enhancement of such Proprietary Materials as a Collective Work under the United States Copyright Act, as amended. The Proprietary Material is protected by domestic and international laws governing copyright, patents, and other proprietary rights (collectively, "Intellectual Property Rights"). You may not copy, download, use, redesign, reconfigure, or retransmit anything from the Services without Wayline's express prior written consent.
The service marks and trademarks of Wayline, including without limitation "Wayline," "Wayline Inc.," and related logos, are service marks owned by Wayline. Any other trademarks, service marks, logos and/or trade names appearing via the Services are the property of their respective owners. You may not copy or use any of these marks, logos or trade names without the express prior written consent of the owner.
Additionally, you may choose to or we may invite you to submit comments, ideas, or feedback about the Services ("Feedback"). By submitting any Feedback, you agree that your disclosure is gratuitous, unsolicited, and without restriction and will not place Wayline under any fiduciary or other obligation, and that we are free to use the Feedback without any additional compensation to you, and/or to disclose the Feedback on a non-confidential basis or otherwise to anyone.
If you have registered for the Services on behalf of a business or organization, you grant Wayline a limited, worldwide, non-exclusive, royalty-free license to use your name, logos, and trademarks to identify you as a customer of Wayline on Wayline's website and in marketing materials, consistent with any brand guidelines you provide in writing. You may revoke this license at any time by written notice to admin@wayline.com, and Wayline will cease new uses of your brand assets within a commercially reasonable period following such notice.
In accordance with the Digital Millennium Copyright Act of 1998, as amended (the "DMCA"), Wayline has designated an agent to receive notifications of claimed copyright infringement involving material made available through the Services. Written notifications that comply with 17 U.S.C. § 512(c)(3) should be sent to: DMCA Agent, Wayline Inc., 2261 Market Street #22868, San Francisco, CA 94114; email: legal@wayline.com.
Confidential Information
You acknowledge that Confidential Information (as defined below) is a valuable, special and unique asset of Wayline and agree that you will not disclose, transfer, or use (or seek to induce others to disclose, transfer or use) any Confidential Information for any purpose other than using the Services in accordance with these Terms of Service. If relevant, you may disclose Confidential Information to your authorized employees and agents provided that they are also bound to maintain the confidentiality of Confidential Information. You shall promptly notify Wayline in writing of any circumstances that may constitute unauthorized disclosure, transfer, or use of Confidential Information. You shall return all originals and any copies of any materials containing Confidential Information to Wayline upon termination of this Agreement for any reason whatsoever.
The term "Confidential Information" shall mean any and all of Wayline's trade secrets, confidential and proprietary information, and all other information and data of Wayline that is not generally known to the public or other third parties who could derive value, economic or otherwise, from its use or disclosure. Confidential Information shall be deemed to include technical data, know-how, research, product plans, AI model architectures and prompts, products, services, customers, markets, software, developments, inventions, processes, technology, designs, engineering, marketing, finances, strategic and other proprietary and confidential information relating to Wayline or Wayline's business, operations, or properties, including information about Wayline's staff, customers, or partners, or other business information disclosed directly or indirectly in writing, orally, or by drawings or observation. Wayline's obligations with respect to Customer Content are addressed in the Customer Content section and the Privacy Policy, and not in this section.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WAYLINE MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE CONTENT PROVIDED THROUGH THE SERVICES OR THE CONTENT OF ANY SITES LINKED TO THE SERVICES AND ASSUMES NO LIABILITY OR RESPONSIBILITY IN CONTRACT, WARRANTY, OR IN TORT FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF AI-GENERATED CONTENT, INCLUDING CALL TRANSCRIPTS, SUMMARIES, AND ROUTING DECISIONS; (II) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY PERSONAL INFORMATION OR CALL RECORDINGS STORED THEREIN; OR (IV) EVENTS BEYOND OUR REASONABLE CONTROL. UNDER NO CIRCUMSTANCES WILL WAYLINE AND ITS AFFILIATES OR THEIR CORPORATE PARTNERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, ACTUAL, CONSEQUENTIAL, ECONOMIC, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES) ARISING IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF THE SAME.
IF, NOTWITHSTANDING THE FOREGOING EXCLUSIONS, IT IS DETERMINED THAT WAYLINE AND ITS AFFILIATES OR THEIR CORPORATE PARTNERS ARE LIABLE FOR DAMAGES, IN NO EVENT WILL THE AGGREGATE LIABILITY, WHETHER ARISING IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EXCEED THE TOTAL FEES PAID BY YOU TO WAYLINE DURING THE TWELVE (12) MONTHS PRIOR TO THE TIME SUCH CLAIM AROSE, TO THE EXTENT PERMITTED BY APPLICABLE LAW.
Indemnification
You hereby agree to indemnify, defend, and hold harmless Wayline and its officers, directors, employees, agents, attorneys, insurers, successors and assigns (the "Indemnified Parties") from and against any and all liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) (collectively, "Liabilities") incurred in connection with (i) your use or inability to use the Services; (ii) your breach or violation of this Agreement; (iii) your violation of any law, or the rights of any user or third party; (iv) any Customer Content or other content submitted by you or using your Account to the Services; (v) your failure to obtain all required rights, consents, or authorizations for Wayline to exercise the rights granted in the Customer Content section; (vi) your failure to provide required notices to, or obtain required consents from, tenants or other callers in connection with call recording or the collection of biometric information; (vii) your failure to comply with applicable Biometric Privacy Laws, including BIPA and CUBI, including any statutory damages arising thereunder; (viii) your failure to comply with the TCPA or applicable state telemarketing or do-not-call laws; and (ix) your failure to comply with applicable two-party consent call recording laws. Wayline reserves the right, in its own sole discretion, to assume the exclusive defense and control at its own expense of any matter otherwise subject to your indemnification. You will not, in any event, settle any claim or matter subject to indemnification without the prior written consent of Wayline.
Dispute Resolution – Arbitration & Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS AND GOVERNS HOW YOU AND WAYLINE CAN BRING CLAIMS AGAINST EACH OTHER. THIS SECTION WILL, WITH LIMITED EXCEPTION, REQUIRE YOU AND WAYLINE TO SUBMIT CLAIMS AGAINST EACH OTHER TO BINDING AND FINAL ARBITRATION ON AN INDIVIDUAL BASIS.
You agree that, in the event any dispute or claim arises out of or relating to your use of the Services, you will contact us at legal@wayline.com and you and Wayline will attempt in good faith to negotiate a written resolution of the matter directly. You agree that if the matter remains unresolved for 30 days after notification (via certified mail or personal delivery), such matter will be deemed a "Dispute" as defined below. Except for the right to seek injunctive or other equitable relief described under the "Binding Arbitration" section below, should you file any arbitration claims, or any administrative or legal actions without first having attempted to resolve the matter by negotiation, then you agree that you will not be entitled to recover attorneys' fees, even if you may have been entitled to them otherwise.
Binding Arbitration. You and Wayline agree that any dispute, claim or controversy arising out of or relating to this Agreement or to your use of the Services (collectively "Disputes") will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights. This means that you and Wayline both agree to waive the right to a trial by jury. Notwithstanding the foregoing, you may bring a claim against Wayline in "small claims" court, instead of by arbitration, but only if the claim is eligible under the rules of the small claims court and is brought on an individual, non-class, and non-representative basis, and only for so long as it remains in the small claims court.
Class Action Waiver. You and Wayline agree that any proceedings to resolve Disputes will be conducted on an individual basis and not in a class, consolidated, or representative action. This means that you and Wayline both agree to waive the right to participate as a plaintiff or class member in any class action proceeding. Further, unless you and Wayline agree otherwise in writing, the arbitrator in any Dispute may not consolidate more than one person's claims and may not preside over any form of class action proceeding.
Arbitration Administration and Rules. The arbitration will be administered by JAMS in accordance with the JAMS Streamlined Arbitration Rules and Procedures (or, where the amount in dispute exceeds $250,000, the JAMS Comprehensive Arbitration Rules and Procedures) then in effect, except as modified by this "Dispute Resolution" section. The JAMS Rules are available at www.jamsadr.com.
Arbitration Process. A party who desires to initiate the arbitration must provide the other party with a written Demand for Arbitration as specified in the JAMS Rules. The arbitrator will be either a retired judge or an attorney licensed to practice law in the State of California with experience in technology or commercial disputes, and will be selected by the parties from the JAMS' roster of arbitrators. If the parties are unable to agree upon an arbitrator within seven days of delivery of the Demand for Arbitration, then JAMS will appoint the arbitrator in accordance with JAMS Rules.
Arbitration Location and Procedure. Unless you and Wayline agree otherwise, the seat of the arbitration shall be in San Francisco, California. If your claim does not exceed USD $10,000, then the arbitration will be conducted solely on the basis of documents you and Wayline submit to the arbitrator, unless you request a hearing and the arbitrator then determines that a hearing is necessary. Subject to JAMS Rules, the arbitrator will have the discretion to direct a reasonable exchange of information by the parties. Hearings may be conducted by telephone or video conference.
Arbitrator's Decision and Governing Law. The arbitrator shall apply Delaware law consistent with the Federal Arbitration Act and applicable statutes of limitations. The arbitrator will render an award within the timeframe specified in the JAMS Rules. Judgment on the arbitration may be entered in any court having jurisdiction thereof. Any award of damages by an arbitrator must be consistent with the "Disclaimer of Warranties" and "Indemnification" sections above.
Fees. Each party's responsibility to pay the arbitration filing, administrative and arbitrator fees will depend on the circumstances of the arbitration and are set forth in the JAMS Rules.
Governing Law
Except as provided in the "Dispute Resolution" section or expressly provided in writing otherwise, this Agreement and your use of the Services will be governed by, and will be construed under, the laws of the State of Delaware, without regard to choice of law principles. This choice of law provision is intended only to specify the use of Delaware law to interpret this Agreement.
No Agency; No Employment
No agency, partnership, joint venture, employer-employee or franchiser-franchisee relationship is intended or created by this Agreement.
General Provisions
Failure by Wayline to enforce any provision(s) of this Agreement will not be construed as a waiver of any provision or right. This Agreement constitutes the complete and exclusive agreement between you and Wayline with respect to its subject matter, and supersedes and governs any and all prior agreements or communications. The provisions of this Agreement are intended to be interpreted in a manner which makes them valid, legal, and enforceable. Except for the "Class Action Waiver" above, in the event any provision is found to be partially or wholly invalid, illegal or unenforceable, (i) such provision shall be modified or restructured to the extent and in the manner necessary to render it valid, legal, and enforceable or, (ii) if such provision cannot be so modified or restructured, it shall be excised from the Agreement without affecting the validity, legality or enforceability of any of the remaining provisions. This Agreement may not be assigned or transferred by you without our prior written approval. We may assign or transfer this Agreement without your consent, including but not limited to assignments: (1) to a parent or subsidiary, (2) to an acquirer of assets, or (3) to any other successor or acquirer. Any assignment in violation of this section shall be null and void. This Agreement will inure to the benefit of Wayline, its successors and assigns.
In any action, arbitration, or other proceeding arising out of or relating to this Agreement (other than a claim brought on an individual basis in a small-claims court), the prevailing party is entitled to recover its reasonable attorneys' fees, expert-witness fees, and other costs incurred in the proceeding, in addition to any other relief to which such party is entitled.
Neither party will be liable for any failure or delay in performance under this Agreement (other than payment obligations) to the extent caused by circumstances beyond the party's reasonable control, including acts of God, labor disputes, shortages of supplies, acts of governmental authority, war, terrorism, civil unrest, cyberattacks, power outages, telecommunications or internet failures, epidemics and pandemics, and outages or service interruptions affecting any AI Provider, foundation-model API, cloud-hosting provider, or other third-party infrastructure on which the Services materially depend. The affected party will notify the other party as soon as reasonably practicable and will use commercially reasonable efforts to resume performance.
Changes to this Agreement and the Services
Wayline reserves the right, at its sole and absolute discretion, to change, modify, add to, supplement, suspend, discontinue, or delete any of the terms and conditions of this Agreement (including these Terms of Service and Privacy Policy) and review, improve, modify or discontinue, temporarily or permanently, the Services or any content or information through the Services at any time. Wayline will endeavor to notify you of material changes by email at least thirty (30) days prior to the effective date of such changes, but will not be liable for any failure to do so. If any future changes to this Agreement are unacceptable to you or cause you to no longer be in compliance with this Agreement, you must terminate, and immediately stop using, the Services. Your continued use of the Services following any revision to this Agreement constitutes your complete and irrevocable acceptance of any and all such changes.
No Rights of Third Parties
None of the terms of this Agreement are enforceable by any persons who are not a party to this Agreement.
Notices and Consent to Receive Notices Electronically
You consent to receive any agreements, notices, disclosures and other communications (collectively, "Notices") to which this Agreement refers electronically, including without limitation by e-mail or by posting Notices on the Site. You agree that all Notices that we provide to you electronically satisfy any legal requirement that such communications be in writing. Unless otherwise specified in this Agreement, all notices under this Agreement will be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by email; or the day after it is sent, if sent for next day delivery by a recognized overnight delivery service.

This Privacy Policy (the "Privacy Policy") serves to inform you of our policies and procedures regarding the collection, use and disclosure of the information we receive when you access and use the platform available at admin.wayline.com, the website at wayline.com (the "Site"), services, software, content, and all other products and services (all of the foregoing collectively, the "Services") owned, controlled or offered, directly or indirectly, by Wayline Inc., a Delaware corporation (together with its subsidiaries and affiliates, "Wayline," "we," "our" or "us"). Wayline believes that the privacy of its users is paramount and strives to use Personal Information (as defined below) only in ways outlined in this Privacy Policy. The Privacy Policy is incorporated by reference into our Terms of Service, currently available at https://www.wayline.com/terms-privacy#terms-of-service (the "Terms of Service"). By using the Services, you hereby warrant and represent that you have read, understand and agree to this Privacy Policy and the Terms of Service, and that you are over 18 years of age. PLEASE DO NOT USE, INSTALL OR ACCESS THE SERVICES IF YOU DO NOT AGREE TO THIS PRIVACY POLICY.
What We Mean by Personal Information
For purposes of this Privacy Policy, "Personal Information" means any information from or about a person that either identifies that person directly or that makes that person identifiable when it is combined with other information from or about that person from any source.
When Wayline provides the Services to a property management company or other business (a "Customer") that has entered into a subscription or other written agreement with Wayline, Wayline generally acts as a data processor (or a "service provider" or "contractor" under applicable U.S. state privacy laws) with respect to Personal Information about end users, tenants, residents, and other individuals processed in the course of providing the Services to that Customer. In those cases, the Customer acts as the data controller (or "business"), and Wayline's processing of such Personal Information is additionally governed by the written agreement between Wayline and the Customer, which prevails over this Privacy Policy to the extent of any conflict. With respect to Personal Information collected from Customer account administrators, website visitors, sales inquiries, marketing activities, and Wayline's own business operations, Wayline acts as a data controller (or "business").
This Privacy Policy addresses our handling of Personal Information. It does not govern the data, content, configurations, outputs, and other materials or data that you or your authorized users submit to, upload to, input into, or otherwise make available to the Services ("Customer Content"), including without limitation voice recordings, call transcripts, and SMS message logs generated through the Services. Our use of Customer Content is governed by the Terms of Service.
Information We Collect
Information You Provide To Us
When you use the Services or otherwise communicate with us, we collect information that you provide to us directly. For example, we collect information in the following circumstances: you (i) visit the Site or access the Services; (ii) register for the Services or create an account or profile or accept the creation of an account or profile on your behalf (an "Account"), including through a third-party identity provider; (iii) subscribe to newsletters; (iv) purchase a subscription to, or make a usage-based payment for, the Services; (v) invite your colleagues to join the Services or perform other similar actions; (vi) request technical support; (vii) otherwise use our Services where Personal Information is required for such use and/or participation; and (viii) when you contact us via the Site or when you otherwise communicate with us. You can choose not to provide information that is requested of you by us; however, this may limit your ability to use or access the Services.
The information you provide to us directly may include, without limitation, the following information that may, alone or in combination with other data, constitute Personal Information:
- Account registration information, such as your name, email address, job title, and company name;
- Optional profile information, such as physical address, phone number, and any other information you decide to provide;
- Information you provide via email, through the "Contact" section on the Site or by using the contact details listed on various parts of the Site, including your name, company name, email address, phone number, inquiry, and any other information you decide to provide;
- If you are one of our customers, suppliers or prospects, we may process limited Personal Information in the course of our business relation with you, for example when you request a demo or place an order. Such Personal Information may include your name, company, title, email address, telephone number, address, and order details;
- Limited (non-PCI) transaction and billing data associated with your subscription or usage-based charges (we do not store full payment card or bank account numbers; payment information is collected and processed directly by our third-party payment processor); and
- Any other information you may want to share with us, such as Personal Information related to recruitment / job applications.
Moreover, if you contact us, a record of such correspondence may be kept.
Additionally, if another user refers you to us by providing us with your email address, we may send you a message. However, we will use your email address only to send such other user's message unless you otherwise affirmatively provide your information to us.
Information Generated Through the AI Services
In connection with providing AI voice agent, AI SMS/messaging, and related services, Wayline and its Customers process information about individuals (such as tenants and residents of properties managed by Customers) who interact with the AI Services. This may include: voice recordings of inbound and outbound calls handled by AI voice agents; call transcripts and summaries; SMS and messaging content; information provided by or about individuals during such interactions; and metadata about calls and messages (such as timestamps, call duration, and phone numbers). Wayline processes this information on behalf of the applicable Customer and as directed by the Customer's configuration of the Services. Individuals with questions about how their Personal Information is used in connection with a property's AI communications should contact the applicable property management company.
Automatically Collected Information
Most of the data we collect in and through the Site and the Services is technical in nature and is collected and processed automatically through so-called application programming interfaces, software development kits, cookies and similar software-based technologies. Alone or in combination with other data, such automatically collected data may constitute Personal Information. The data we may collect by automated means may include, without limitation:
- Device data: including, but not limited to, data on device and browser type, operating system, and similar hardware and software qualifiers.
- Usage data: including, but not limited to, features accessed, actions taken within the Services, search terms entered, pages viewed, session duration, and error and diagnostic information.
- Network and internet information: including, but not limited to, URLs, Internet Protocol addresses, bounce rates, number of sessions initiated, click streams, approximate location derived from IP address, and network/Wi-Fi access points.
- Information we collect on the use of the Site via cookies: please see the "How We Use Cookies and Other Technologies" section below for more information.
We do not currently collect precise (GPS-based) geolocation data through the Services. If we introduce features that rely on precise geolocation in the future, we will update this Privacy Policy and obtain any consents required by applicable law.
We may use analytics services to collect information about how the Site and the Services are used, including data such as time of visit, pages visited, time spent on each page, the Internet Protocol address, and the type of operating system and browser used to access the Site. If we introduce additional third-party analytics services, we will identify them in this Privacy Policy and provide information about available opt-out mechanisms.
Information You Share on Third Party Websites or through Social Media Services
The Services may include links to third-party websites and social media services where you will be able to post comments, stories, reviews or other information. Your use of these third-party websites and social media services may result in the collection or sharing of information about you by these third-party websites and social media services. We encourage you to review the privacy policies and settings on the third-party websites and social media services with which you interact to make sure you understand the information that may be collected, used, and shared by those third-party websites and social media services.
How We Use Cookies and Other Technologies
Some of the features on the Site and the Services require the use of "cookies" – small text files that are stored on your device's hard drive. We use cookies to measure which pages are being accessed, and which features are most frequently used. This enables us to continuously improve the Site to meet the needs of our visitors.
Where required by applicable law (including in the European Economic Area, the United Kingdom, Switzerland, and jurisdictions with comparable consent requirements), we will request your consent before placing non-essential cookies and similar technologies on your device and will provide you with a cookie-preferences interface that lets you accept or reject optional categories of cookies. You may also manage cookies through your browser settings, and you may change your preferences at any time. Disabling non-essential cookies may limit the functionality of the Services.

We and our service providers may also use "pixel tags," "web beacons," "clear GIFs," or similar means in connection with the Services and HTML-formatted email messages to, among other things, track the actions of users, to determine the success of marketing campaigns and to compile aggregate statistics about Site usage and response rates.
Voice Recordings and Biometric Information
In connection with Wayline's AI voice agent services, Wayline and its Customers may record, transcribe, and process voice calls between AI agents and individuals (such as tenants, prospective residents, or other callers). These recordings and transcripts are stored and used for purposes including quality assurance, service improvement, Customer review, and to deliver the features of the Services. Wayline processes voice recordings on behalf of Customers and as a service provider; the applicable Customer is responsible for ensuring that appropriate disclosures and consents are obtained from individuals prior to recording.
Certain states define biometric identifiers to include voiceprints or data derived from voice recordings. Applicable laws include, without limitation, the Illinois Biometric Information Privacy Act (740 ILCS 14/1 et seq.) ("BIPA"), the Texas Capture or Use of Biometric Identifier Act (Tex. Bus. & Com. Code § 503.001 et seq.) ("CUBI"), and Washington State's biometric privacy law (RCW 19.375 et seq.). Where Wayline processes voice data that may constitute biometric identifiers or biometric information under applicable law, Wayline does so as a service provider acting on behalf of its Customers. Customers are responsible for providing required notices and obtaining required consents or releases from individuals prior to recording and for any collection, storage, use, or disclosure of biometric information in connection with the Services, as further set forth in the Terms of Service.
Use of Collected Information
We use the information you provide to us for the following purposes: (i) to further our legitimate interests in providing the Services, including without limitation to collect and remit payment for paid features; (ii) to administer your use of the Services and any Accounts you may have with us; (iii) to provide to you Service announcements or inform you of new releases and features; (iv) to provide you with further information and offers from us or third parties that we believe you may find useful or interesting, such as newsletters, marketing or promotional materials, which we may deliver by email, push notification, or SMS/text message; (v) to perform tasks on behalf of and according to instructions of a third party, such as payment processors, third-party service providers or our marketing partners; (vi) to enforce our Terms of Service; (vii) to resolve any disputes between users of the Site or between such users and us; (viii) to comply with a legal requirement or process, including, but not limited to, civil and criminal subpoenas, court orders or other compulsory disclosures; (ix) to further our legitimate interest in protecting our rights, property, or safety and the rights, property and safety of the Services, our users or the public; and (x) to contact you to obtain feedback from you regarding the Site and the Services.
In addition to the purposes described above, we use the information collected automatically to (i) further our legitimate interests in monitoring and analyzing the use of the Services and for the technical administration of the Site; (ii) improve the Site and the Services; (iii) generate and derive useful data and information concerning the interests, characteristics and website use behavior of our users; and (iv) verify that users of the Services meet the criteria required to process their requests.
You may opt out of receiving marketing communications from us at any time by using the "unsubscribe" link in any marketing email, adjusting your notification preferences within the Services, or by contacting us at legal@wayline.com. Transactional and service-related communications (such as messages about your Account, billing, or material changes to the Services) are not considered marketing communications and are necessary for our provision of the Services.
Wayline uses industry-standard security measures to protect voice recordings and any derived data, and does not sell voice recordings or biometric information. Wayline retains voice recordings and transcripts for the period directed by the applicable Customer configuration, or, absent Customer direction, for a period consistent with Wayline's standard data retention practices described in the "Data Retention" section below. Upon Customer request, or upon expiration of the applicable retention period, Wayline will delete or de-identify such recordings and derived data in accordance with its policies and applicable law.
Wayline does not disclose voice recordings or biometric information to third parties except (i) to AI providers used to process and transcribe calls in connection with the Services, under written agreements that restrict such providers' use of the data; (ii) to Customer-authorized personnel through the admin platform; (iii) as directed by the Customer; or (iv) as required by applicable law.
Third Parties We Share Personal Information With
We do not sell Personal Information, and have not sold Personal Information in the 12 months preceding the effective date of this Privacy Policy. We may disclose Personal Information you provide to us or that we collect automatically on the Site and in and through the Services with the following categories of third parties:
For purposes of applicable U.S. state privacy laws, Wayline does not "sell" Personal Information and does not "share" Personal Information for cross-context behavioral advertising (as those terms are defined in the California Consumer Privacy Act, as amended by the California Privacy Rights Act, and similar laws). Wayline does not knowingly sell or share the Personal Information of individuals under sixteen (16) years of age.
In connection with the AI voice agent and SMS/messaging features, we share prompts, inputs, and Customer Content that you choose to submit to the AI features with third-party AI providers that power those features. Our current AI providers include Deepgram, Cartesia, OpenAI, and Anthropic, and we may add, change, or remove AI providers from time to time. AI providers process this information solely to provide responses back to Wayline under written agreements that restrict their use of the data to operating their services for Wayline and that prohibit training of their generally available models on customer inputs.
- Service providers, such as payment processors (for example, Stripe), web hosting and data storage service providers (for example, Amazon Web Services), analytics providers, customer-support providers, marketing service providers, telephony and communications service providers, and other service providers, in each case that help us deliver and develop the Services;
- Third-party identity providers when you choose to authenticate with them, solely for the purpose of establishing or maintaining your Account;
- Public authorities, such as law enforcement, if we are legally required to do so or if we need to protect our rights or the rights of third parties; and

Links to Other Websites
We frequently make content or services from other websites available to you from links located on the Site. We may present links in a format that enables us to keep track of whether these links have been followed. This Privacy Policy applies only to the Site and the Services. We do not exercise control over third-party services or other websites that provide information, or links from within the Site or the Services. Your interactions with these third-party services are governed by the privacy policy of the company providing it. These other sites and services may place their own cookies or other files on your computer's browser, collect data or solicit Personal Information from you. Other websites and services follow different rules regarding the use or disclosure of the Personal Information that you submit, and the collection and use of such information and access of any third-party websites are subject to such third party's privacy policy. We encourage you to read the privacy policies and other terms of such third parties before using their services.
Security
We understand the importance of privacy and security of Personal Information to our users and have made them a priority. Wayline uses a variety of industry-standard security technologies and procedures to help protect Personal Information about you from unauthorized access, use, or disclosure, and trains Wayline employees on privacy and security issues. These measures include, among other things, AES-256 encryption of data at rest and encryption of data in transit over public networks using TLS, with data stored on servers hosted on Amazon Web Services infrastructure in the United States. We are in the process of pursuing SOC 2 compliance and will update this Privacy Policy when that process is complete. However, we cannot guarantee that unauthorized third parties will never be able to overcome those measures or use your Personal Information for improper purposes, and we do not promise that Personal Information about you or private communications will be protected from unauthorized disclosure or use.
In the event of a breach of Personal Information that is likely to result in a risk to your rights and freedoms under applicable law, Wayline will notify affected users and, where applicable, the relevant supervisory authority in accordance with applicable law, including without undue delay. Such notification will describe, to the extent known at the time, the nature of the breach, the categories and approximate number of individuals and records concerned, the likely consequences of the breach, and the measures taken or proposed to address the breach and mitigate its adverse effects.
Do Not Track Signals and Similar Mechanisms
Wayline's tracking of users across third-party websites is currently minimal. As a result, we do not currently respond to "Do Not Track" (DNT) signals. If and when we expand the scope of our tracking or introduce interest-based advertising, we will provide users with a mechanism to opt out of tracking in a manner consistent with applicable law, and will update this Privacy Policy to reflect our practices.
Managing Your Privacy
We keep your data on your behalf and for your benefit. You can request to access, correct, or delete the Personal Information in your Account, or request a copy of your Account data, by contacting us by email at legal@wayline.com. If you cancel your Account or request us to delete your information, Wayline will limit its access to Personal Information to perform what is requested by you and will delete Personal Information within a reasonable period (and in any event consistent with applicable law), except to the extent we are required or authorized to retain such information. We aspire to honor verified deletion requests within seven business days of receipt. We may also automate these access, correction, and deletion mechanisms within the Services over time; until we do, please use the email address above.
If you cancel or cease your Account on the Services and do not request deletion of your data, we will securely retain your Account information (including Customer Content) for a period of thirty (30) days following the termination or cancellation date so that you can resume the Account if you renew. After that thirty-day period, we will delete or de-identify your Account data in accordance with our standard data retention practices, unless we are required or authorized by law to retain it longer.
California Residents
California Civil Code Section 1798.83 requires certain businesses that share customer Personal Information with third parties for the third parties' direct marketing purposes to respond to requests from California customers asking about the businesses' practices related to such information-sharing. We currently do not share or disclose your Personal Information to third parties for the third parties' direct marketing purposes. If we change our practices in the future, we will implement an opt-out policy as required under California laws.
Furthermore, subject to certain exemptions, California residents have the following rights with respect to Personal Information we may have collected about them:
Requests to Know
You have the right to request that we disclose:
- The categories of Personal Information we have collected about you;
- The categories of Personal Information about you we have sold or disclosed for a business purpose;
- The categories of sources from which we have collected Personal Information about you;
- The business or commercial purposes for selling or collecting Personal Information about you;
- The categories of Personal Information sold or shared, if any, about you, as well as the categories of third parties to whom the Personal Information was sold, by category of Personal Information for each party to whom Personal Information was sold; and
- The specific pieces of Personal Information collected.
You may submit a request to know via legal@wayline.com. The delivery of our response may take place electronically or by mail. We are not required to respond to requests to know more than twice in a 12-month period.
We do not sell, and have not in the prior 12 months sold, Personal Information about California residents. Therefore, we have not included a "Do Not Sell or Share My Personal Information" link on our Site. If our practices change, we will update this Privacy Policy and take any other necessary action to comply with applicable law. We do, however, disclose Personal Information for business purposes as described in the "Third Parties We Share Personal Information With" section above.
Requests to Delete
You have the right to request that we delete any Personal Information about you that we have collected. Upon receiving a verified request to delete Personal Information, we will do so unless otherwise required or authorized by law. You may submit a request to delete Personal Information via legal@wayline.com.
Any disclosures we provide will only cover the 12-month period preceding the verifiable consumer request's receipt. The response we provide will also explain the reasons we cannot comply with a request, if applicable.
We do not charge a fee to process or respond to your verifiable consumer request unless it is excessive, repetitive, or manifestly unfounded. If we determine that the request warrants a fee, we will tell you why we made that decision and provide you with a cost estimate before completing your request.
The Right to Non-Discrimination
You have the right not to be discriminated against for the exercise of your California privacy rights described above. Unless permitted by the California Consumer Privacy Act, as amended, we will not:
- Deny you goods or services;
- Charge you different prices or rates for goods or services, including through granting discounts or other benefits, or imposing penalties;
- Provide you a different level or quality of goods or services; or
- Suggest that you may receive a different price or rate for goods or services or a different level or quality of goods or services.
Illinois, Texas, and Washington Residents – Biometric Privacy
Certain U.S. states have enacted laws specifically governing the collection, use, storage, and disclosure of biometric identifiers and biometric information, including data derived from voice recordings. This section provides additional disclosures for residents of states with such laws where Wayline's AI voice agent services may be used.
Illinois (BIPA). The Illinois Biometric Information Privacy Act (740 ILCS 14/1 et seq.) regulates the collection, retention, disclosure, and destruction of biometric identifiers, including voiceprints, and biometric information derived therefrom. Wayline processes voice call data as a service provider on behalf of its Customers. The Customer (i.e., the property management company that has engaged Wayline) is responsible for providing required BIPA notices, obtaining any required written releases from individuals before recording calls, maintaining a publicly available retention schedule, and ensuring that Wayline's use of such data complies with BIPA's requirements. Wayline does not sell biometric identifiers or biometric information and will not disclose such information without Customer direction except as required by law or as otherwise described in this Privacy Policy.
Texas (CUBI). The Texas Capture or Use of Biometric Identifier Act (Tex. Bus. & Com. Code § 503.001 et seq.) governs the capture, use, storage, and sale of biometric identifiers, including retina or iris scans, fingerprints, voiceprints, and records of hand or face geometry. Where Wayline's AI voice agent services may capture or use biometric identifiers in connection with services provided to Texas residents, Wayline does so as a service provider on behalf of its Customers. The Customer is responsible for providing required CUBI notices and obtaining informed consent before capturing biometric identifiers. Wayline does not sell biometric identifiers and will not disclose such identifiers without Customer direction except as required by law.
Washington State. Washington's biometric privacy law (RCW 19.375 et seq.) governs the enrollment of biometric identifiers, including voice data, by commercial entities. Where Wayline's AI voice agent services may enroll biometric identifiers in connection with services provided to Washington residents, Wayline does so as a service provider on behalf of its Customers, and the applicable Customer is responsible for providing required notices and obtaining any required consent. Wayline does not sell biometric identifiers and will not disclose such identifiers without Customer direction except as required by law.
Residents of Illinois, Texas, and Washington who have questions about the collection or use of biometric information in connection with a property's AI communications should contact the applicable property management company. International Transfers of Personal Information
Wayline is based in the United States. As a result, Personal Information that we collect in and through the Services and on the Site may be transferred to our U.S. facilities. In addition, we may work with third-party service providers in the U.S. and, over time, in other countries to support our business activities. Thus, Personal Information may be transferred to, stored on servers in, and accessed from the United States and countries other than the country in which the Personal Information was initially collected. In all such instances, we use, transfer, and disclose Personal Information solely for the purposes described in this Privacy Policy and in compliance with applicable laws. If you access the Services from outside the United States, you understand and consent to the transfer of your Personal Information to, and its processing in, the United States.
European Economic Area, United Kingdom, and Switzerland Residents. If you are located in the European Economic Area ("EEA"), the United Kingdom ("UK"), or Switzerland, the following additional disclosures apply to our processing of your Personal Information. For purposes of the EU General Data Protection Regulation (the "GDPR"), the UK GDPR, and the Swiss Federal Act on Data Protection, the data controller is Wayline Inc., 2261 Market Street #22868, San Francisco, CA 94114, United States; you can reach us at privacy@wayline.com.
Legal bases for processing. We process Personal Information on the following legal bases: (i) your consent (for example, for marketing emails or non-essential cookies), which you may withdraw at any time; (ii) the performance of a contract with you, or to take steps at your request before entering into a contract, including to operate, support, and administer the Services; (iii) our legitimate interests in operating, securing, improving, and marketing the Services, provided those interests are not overridden by your rights and interests; and (iv) compliance with a legal obligation to which Wayline is subject.
Your rights. Subject to applicable law, you have the right to request access to the Personal Information we hold about you; to request correction or deletion of inaccurate or unlawfully processed Personal Information; to request restriction of processing or to object to processing; to request portability of Personal Information in a structured, commonly used, machine-readable format; and, where processing is based on consent, to withdraw that consent at any time without affecting the lawfulness of processing before withdrawal. You also have the right to lodge a complaint with your local data-protection supervisory authority. International transfers. Personal Information collected in the EEA, UK, or Switzerland is transferred to the United States and may be processed by us and our service providers there and in other jurisdictions. Where required, we rely on the European Commission's Standard Contractual Clauses (including the UK's International Data Transfer Addendum and, for Switzerland, the SCCs as recognized by the Swiss Federal Data Protection and Information Commissioner), the UK International Data Transfer Agreement, other transfer mechanisms approved by the applicable supervisory authority, or, where applicable, the EU-U.S. Data Privacy Framework and UK Extension, as the legal mechanism for such transfers. Retention in the EEA/UK/Switzerland. We retain Personal Information for the periods described in the "Data Retention" section below, or for such shorter period as is required by applicable law.
Data Retention
We keep Personal Information related to your Account for as long as it is needed to fulfill the purposes for which it was collected, to provide our services, to deal with possible legal claims, to comply with our business interests and/or to abide by all applicable laws. Following termination or cancellation of an Account, Wayline retains Account data for a period of thirty (30) days to permit reactivation, after which we either delete Personal Information about you or de-identify it. Please note that even if you request the deletion of Personal Information about you, we may be required (by law or otherwise) to retain the Personal Information and not delete it. However, once those requirements are removed, we will delete Personal Information about you in accordance with your request. Voice recordings and transcripts processed on behalf of Customers are retained for the period configured by the applicable Customer, subject to applicable law and Wayline's contractual obligations.
Children's Privacy
The Services are not directed to, or intended for use by, individuals under the age of 18. We do not knowingly collect Personal Information from children under 18. If we learn that we have collected Personal Information from a child under 18, we will promptly delete that information. Changes to the Privacy Policy
Our security and Privacy Policy are periodically reviewed and enhanced as necessary. This Privacy Policy might change as we update and expand the Services. You can tell when this Privacy Policy was last updated by reviewing the Effective Date legend on top of this page. We will endeavor to notify you of these changes by email, but will not be liable for any failure to do so. We also encourage you to review this Privacy Policy periodically. If you do not understand any of the terms or conditions of any of our policies, you may inquire regarding the same via email at legal@wayline.com. Your continued use of the Services after any change in this Privacy Policy will constitute your acceptance of such change.
